Terms and Conditions

Welcome to Codeaamy. These Terms and Conditions ("Terms") govern your access to and use of the Software-as-a-Service (SaaS) products owned, operated, and offered by Codeaamy FZCO ("Codeaamy", "we", "us", or "our") through codeaamy.com and any associated subdomains, applications, and APIs (collectively, the "Products"). By accessing, signing up for, or using any of our Products, you agree to be bound by these Terms. If you do not agree, please do not use our Products.

Who You Are Contracting With

Codeaamy operates through two group companies. The contracting party for these Terms and any subscription you purchase is Codeaamy FZCO, a Free Zone Company registered in Dubai, United Arab Emirates, with its registered office at Dubai, United Arab Emirates. Unless stated otherwise on this page, "Codeaamy", "we", "us", and "our" refer to Codeaamy FZCO.

Codeaamy Pvt Ltd (a private limited company incorporated in India, registered office H.no 122, Sr.no 56/18, Near last bus Stop, Wadgaon Sheri, Pune, 411014, India) is an affiliated group company. It may deliver services, provide support, or process personal data on behalf of Codeaamy FZCO under an intra-group agreement. Where Codeaamy Pvt Ltd is the contracting party for a particular order, that will be stated on the applicable order form, invoice, or checkout page, and the terms on this page apply to that entity in place of Codeaamy FZCO.

1. About Our Products

Codeaamy builds and operates its own SaaS products. These Products are licensed, not sold, and are made available to you on a subscription basis. All Products are delivered digitally over the internet, hosted on our servers or our cloud infrastructure providers. We do not sell, ship, or deliver any physical goods through these Products.

2. Eligibility

You must be at least 18 years of age and capable of entering into a legally binding contract to use our Products. If you are using a Product on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

3. Account Registration

To use our Products you may need to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

4. Subscription and Payments

Our Products — including DroidMac, Screencraft and PlanOut — are offered under three purchase types: free plans, recurring subscriptions billed monthly or annually, and one-time licence purchases granting a perpetual licence to a specific product version. The purchase type, price, and billing frequency applicable to your order are the ones shown on the checkout page before you confirm payment. By purchasing, you authorize us (or our payment processors) to charge the applicable fees to your selected payment method. Fees are quoted in the currency specified at checkout and are exclusive of UAE VAT and any other applicable indirect taxes unless otherwise stated.

Our order process and payment collection is conducted by our online reseller and Merchant of Record, Paddle.com. Paddle.com is the merchant of record for all our orders and handles all billing enquiries, invoicing, sales tax and VAT collection, and customer service for orders. Your purchase is therefore also subject to Paddle's Buyer Terms and Conditions. For billing, invoice, or payment queries you can contact Paddle at paddle.net, or contact us at info@codeaamy.com.

The price applicable to your subscription, the billing frequency, and the currency are the ones displayed to you on the checkout page at the time of purchase. Applicable taxes are calculated and displayed at checkout based on your billing location before you confirm payment.

Recurring subscriptions automatically renew at the end of each billing cycle (monthly, annual, or as specified) at the then-current price unless cancelled prior to the renewal date. We will notify you in advance of any price change affecting your renewal. You can cancel your subscription at any time, as detailed in our Cancellation Policy. One-time licence purchases do not renew and are not billed again.

5. Free Trials and Promotions

We may offer free trials, beta access, or promotional pricing from time to time. At the end of any free trial period, your subscription will automatically convert to a paid plan at the standard rate unless you cancel before the trial ends. Promotional pricing applies only for the period stated at the time of the offer.

6. Acceptable Use

You agree not to use the Products to:

• Violate any applicable law, regulation, or third-party rights.
• Infringe the intellectual property, privacy, or proprietary rights of others.
• Distribute malware, viruses, or other harmful software.
• Attempt to gain unauthorized access to our systems, accounts, or networks.
• Reverse engineer, decompile, or attempt to extract the source code of the Products.
• Resell, sublicense, or redistribute the Products or your account access without our express written consent.
• Interfere with, disrupt, or place excessive load on our infrastructure.

7. Intellectual Property

All content, software, designs, trademarks, logos, and materials that make up the Products are the property of Codeaamy or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Products for their intended purpose during your active subscription. No other rights are granted.

8. Your Data

You retain ownership of any data, content, or information you submit to or create through our Products ("Customer Data"). You grant Codeaamy a limited license to host, process, and display your Customer Data solely as necessary to operate and provide the Products to you. We process your data in accordance with our Privacy Policy.

9. Refunds

All sales are final. As Codeaamy provides digital SaaS products, we do not offer refunds once a subscription has been purchased or renewed. Please review our Refund Policy for full details.

10. Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing cycle, and you will retain access to the Products until that date. Please refer to our Cancellation Policy for full details.

11. Service Availability

We aim to keep the Products available at all times, but we do not guarantee uninterrupted access. The Products may be temporarily unavailable due to scheduled maintenance, upgrades, or unforeseen technical issues. We will make reasonable efforts to provide notice of planned downtime where practical.

12. Disclaimers

The Products are provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Products will be uninterrupted, error-free, or free of harmful components. Your use of the Products is at your sole risk.

13. Limitation of Liability

To the maximum extent permitted by law, Codeaamy and its affiliates, officers, employees, agents, and partners shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or goodwill, arising from your use of, or inability to use, the Products. Our total aggregate liability for any claim arising out of or related to these Terms or the Products shall not exceed the amount you paid to Codeaamy for the Product giving rise to the claim in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless Codeaamy, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Products or your violation of these Terms.

15. Suspension and Termination

We reserve the right to suspend or terminate your account and access to the Products at any time, with or without notice, for any conduct that we believe violates these Terms, applicable law, or is otherwise harmful to other users, us, or third parties. Upon termination, your right to use the Products will cease immediately.

16. Third-Party Services

Our Products may integrate with or link to third-party services (such as payment processors, analytics providers, and authentication providers). We are not responsible for the content, policies, or practices of any third-party services. Your use of third-party services is governed by their respective terms.

17. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to conflict-of-law principles. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates. Where Codeaamy Pvt Ltd is the contracting party for a particular order, the laws of India and the courts of Pune, Maharashtra, India apply instead. Nothing in this clause deprives a consumer of the protection of the mandatory law of their country of residence.

18. Changes to These Terms

We may update these Terms from time to time. The updated version will be indicated by a revised "Last updated" date and will be effective as soon as it is published. Your continued use of the Products after any changes constitutes your acceptance of the new Terms.
