Mutual Non-Disclosure Agreement

1. Purpose

This Agreement is entered into for the purpose of protecting confidential information shared between the Parties in connection with the App Review services provided by Codeaamy. Both Parties may disclose confidential information to each other during the course of the engagement.

2. Definition of Confidential Information

"Confidential Information" includes but is not limited to:

• Source code, object code, and software architecture
• Application designs, wireframes, and UI/UX assets
• Business plans, strategies, and financial data
• Customer data, user analytics, and metrics
• Trade secrets, proprietary algorithms, and methodologies
• API keys, credentials, and security configurations
• Technical documentation and specifications
• Any information marked as "confidential" or that a reasonable person would understand to be confidential

3. Obligations of the Receiving Party

The Receiving Party agrees to:

• Hold all Confidential Information in strict confidence
• Not disclose Confidential Information to any third party without prior written consent
• Use Confidential Information solely for the purpose of the App Review engagement
• Limit access to Confidential Information to employees and contractors who have a need to know and are bound by similar confidentiality obligations
• Take reasonable security measures to protect Confidential Information, including encryption, access controls, and secure storage
• Promptly notify the Disclosing Party of any unauthorized disclosure or breach

4. Code Repository Access

When the Disclosing Party grants repository access to Codeaamy (info@codeaamy.com):

• Access is limited strictly to the purpose of code review and quality assessment
• Codeaamy will not copy, fork, or redistribute any source code
• Codeaamy will not create derivative works from the Disclosing Party's code
• Repository access will be used only by authorized Codeaamy reviewers
• All access will be revoked upon completion of the review or at the Disclosing Party's request, whichever comes first

5. Exclusions

This Agreement does not apply to information that:

• Is or becomes publicly available through no fault of the Receiving Party
• Was already known to the Receiving Party prior to disclosure
• Is independently developed by the Receiving Party without use of Confidential Information
• Is rightfully received from a third party without restriction

6. Return of Information

Upon completion of the App Review or termination of this Agreement:

• All copies of Confidential Information will be returned or destroyed
• Repository access will be revoked
• The Receiving Party will certify in writing the return or destruction upon request

7. Duration

This Agreement is effective from the Effective Date and the confidentiality obligations will remain in effect for a period of two (2) years from the date of disclosure, or until the Confidential Information no longer qualifies as confidential, whichever is later.

8. Remedies

Both Parties acknowledge that any breach of this Agreement may cause irreparable harm. The non-breaching Party is entitled to seek injunctive relief in addition to any other remedies available at law or in equity.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of India, with jurisdiction in Pune, Maharashtra.

10. Entire Agreement

This Agreement constitutes the entire understanding between the Parties regarding confidentiality and supersedes all prior agreements on this subject.
